These Terms of Service ("Agreement") constitute a legally binding contract between you ("User," "you," or "your") and Caribbean Paradise Investments LLC and CPI Properties – DR S.R.L. (collectively, "CPI," "we," "us," or "our"). By accessing, browsing, or using our websites, portals, platforms, or any services offered thereunder, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety. If you do not agree to these Terms, you must discontinue use of our services immediately.
1. Acceptance of Terms
Users must be at least 18 years of age or the age of majority in their jurisdiction. By accessing CPI platforms, users affirm legal capacity to enter binding contracts.
CPI reserves the right to modify these Terms at any time; continued use constitutes acceptance of revised Terms. Material changes will be communicated via email or prominent site notice at least 14 days in advance where practicable.
2. Description of Services
CPI operates luxury real estate investment, acquisition, development, and property management services across the Dominican Republic and the United States. Services include but are not limited to:

CPI does not provide legal, tax, or financial advice; all information is for informational purposes only.
3. User Accounts and Registration

•Users may be required to create an account to access certain services.

•You are solely responsible for maintaining the confidentiality of your credentials.

•You agree to provide accurate, current, and complete registration information.

•CPI reserves the right to suspend or terminate accounts that violate these Terms or are found to contain fraudulent information.

•You agree to notify CPI immediately at [email protected] of any unauthorized account access.
4. User Obligations
Users agree to:

•Use CPI platforms solely for lawful purposes and in compliance with all applicable laws.

•Provide truthful and accurate information in all interactions with CPI.

•Respect the intellectual property, privacy, and proprietary rights of CPI and third parties.

•Conduct all communications with CPI staff and representatives with professionalism and respect.

•Comply with all applicable U.S. federal and state laws, Dominican Republic laws (including Law No. 108-05 on Real Estate Registration), and any other applicable international regulations.

•Not engage in any conduct that may harm the reputation, business interests, or operations of CPI.
5. Prohibited Activities
Users are expressly prohibited from:

•Engaging in fraudulent, deceptive, or misleading conduct in connection with any transaction or communication with CPI.

•Attempting to gain unauthorized access to CPI systems, databases, portals, or accounts.

•Transmitting malware, viruses, or any harmful code through CPI platforms.

•Scraping, crawling, harvesting, or mining CPI website content, data, or listings without prior written authorization.

•Using CPI platforms for money laundering, tax evasion, or any activity in violation of the Bank Secrecy Act, FATCA, or Dominican Republic Law No. 155-17 on Money Laundering.

•Reproducing, distributing, or commercially exploiting CPI content without express written consent.

•Impersonating CPI, its agents, employees, or any other person or entity.

•Circumventing, disabling, or interfering with security features of CPI platforms.
-
•Using CPI services to facilitate competing services without prior written consent.
Violation of any prohibited activity may result in immediate termination of access and legal action.
6. Intellectual Property Rights
All content on CPI platforms — including but not limited to text, photographs, images, renderings, architectural plans, videos, logos, trademarks, service marks, trade names, data compilations, and software — is the exclusive property of Caribbean Paradise Investments LLC, CPI Properties – DR S.R.L., or their respective licensors, and is protected under the intellectual property laws of the United States and the Dominican Republic (Law No. 20-00 on Industrial Property and Law No. 65-00 on Copyright).
Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use CPI platforms for personal, non-commercial purposes only. No rights or licenses are granted beyond those expressly stated herein.
CPI actively monitors and enforces its intellectual property rights globally.
7. Property Listings and Investment Information

•All property listings, valuations, projections, and investment information published by CPI are provided for informational purposes only and do not constitute an offer to sell, a solicitation, or a guarantee of investment returns.

•Property information is believed to be accurate but is subject to change without notice.

•Photographs and renderings may be illustrative; actual properties may differ.

•CPI strongly recommends engaging independent legal counsel and financial advisors before entering any real estate transaction.

•Past investment performance does not guarantee future results.
8. Privacy and Data Protection
CPI collects and processes personal data in accordance with its Privacy Policy, incorporated herein by reference. CPI complies with applicable data protection laws, including the U.S. laws and the Dominican Republic's Law No. 172-13 on Data Protection.
By using CPI platforms, you consent to the collection, use, and processing of your personal data as described in the Privacy Policy.
CPI implements industry-standard security measures to protect your information but cannot guarantee absolute security.
9. Third-Party Links and Services
CPI platforms may contain links to third-party websites, services, or resources. CPI does not endorse, control, or assume responsibility for the content, accuracy, or practices of any third-party site.
Access to third-party links is at your own risk. CPI shall not be liable for any loss or damage arising from your use of or reliance on any third-party content, goods, or services.
10. Disclaimers
CPI PLATFORMS AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
CPI DOES NOT WARRANT THAT THE PLATFORMS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
NO ORAL OR WRITTEN INFORMATION PROVIDED BY CPI SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CPI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE CPI PLATFORMS OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF CPI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL CPI'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (I) THE TOTAL AMOUNT PAID BY YOU TO CPI IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (II) ONE THOUSAND U.S. DOLLARS (USD $1,000.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES; IN SUCH JURISDICTIONS, CPI'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Indemnification
You agree to indemnify, defend, and hold harmless CPI, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

(a)your use of CPI platforms or services;

(b)your violation of these Terms;

(c)your violation of any third-party rights; or
-
(d)your violation of any applicable law or regulation.
13. Governing Law and Dual-Jurisdiction Compliance
Primary Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law principles.
Dominican Republic Operations
To the extent that CPI services relate to real property situated in the Dominican Republic, such matters shall additionally be subject to applicable Dominican Republic law, including but not limited to: Law No. 108-05 (Real Estate Registration), Law No. 189-11 (Real Estate Market Development), Law No. 155-17 (Anti-Money Laundering), and Law No. 172-13 (Data Protection).
Compliance
Both parties agree to comply with all applicable export control laws and regulations of the United States and the Dominican Republic.
14. Dispute Resolution
Step 1 – Informal Resolution
Before initiating any formal proceeding, the parties agree to attempt to resolve any dispute informally by contacting CPI at info@caribbeanparadiseinvestments.com. CPI will endeavor to respond within 30 days.
Step 2 – Mediation
If informal resolution fails, the parties agree to submit the dispute to non-binding mediation administered by a mutually agreed-upon mediator in Miami-Dade County, Florida.
Step 3 – Arbitration
If mediation is unsuccessful, disputes shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in Miami-Dade County, Florida. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Exception: Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm without waiving the right to arbitration.
15. Force Majeure
CPI shall not be liable for any delay or failure to perform its obligations under these Terms resulting from events beyond CPI's reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, government actions, labor disputes, or internet service interruptions.
16. Termination
CPI reserves the right to suspend or terminate your access to CPI platforms and services, with or without notice, for any violation of these Terms or for any other reason at CPI's sole discretion.
Upon termination, your right to use CPI platforms ceases immediately.
Provisions that by their nature should survive termination (including Sections 6, 10, 11, 12, 13, and 14) shall survive.
17. Accessibility

18. Severability and Waiver
If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall remain in full force and effect.
CPI's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
19. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated herein by reference, constitute the entire agreement between you and CPI with respect to your use of the platforms and services, and supersede all prior agreements, understandings, or representations.
